The Articles of Incorporation of the Abundance Foundation, Inc. are as follows:

  1. The name of the corporation is The Abundance Foundation, Inc.
  2. The corporation is organized pursuant to the provisions of the North Carolina Nonprofit Corporation Code.
  3. The corporation shall have perpetual duration.
  4. The purpose of the corporation is:
    a. to increase the public awareness of sustainability:
    b. to fund projects that can model how human beings can harness, use and benefit from renewable resources;
    c. to encourage conservation and alternative energy paradigms;
    d. to educate the public on local food production, consumption and nutrition:
    e. to fund projects that increase our local food economy and strengthen our sustainable agriculture;
    f. to enhance the quality of life for the community;
    g. to promote the wise use and conservation of our agricultural land;
    h. to promote conservation of our watershed in North Carolina;
    i.  to increase energy literacy;
    j. to introduce soil as a vital renewable resource
  5. The method of election of directors shall be determined by the bylaws of the corporation.
  6. No part of the net earnings of the corporation shall inure to the benefit of, or be distributable to its members, officers, or other private persons, except that the corporation shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth in article IV hereof. No substantial part of the activities of the corporation shall be the carrying on of propaganda, or otherwise attempting to influence legislation, and the corporation shall not participate in any political campaign on behalf of any candidate for public office. Not withstanding any other provision of these articles, the corporation shall not carry on any other activities not permitted to be carried on by a corporation exempt from federal income tax under section 501(c)(3) of the Internal Revenue Code of 1986, as amended, or the corresponding section of any future federal tax code.
  7. The initial registered office of the corporation shall be Lyle Estill, 4479 Pittsboro-Moncure Rd., Moncure, North Carolina, 27559. The initial registered agent at such address shall be Lyle Estill (Chatham County).
  8. The initial Board of Directors shall consist of three (3) members whose names and corresponding addresses are:
    • Mr. Lyle Estill 4479 Pittsboro Moncure Rd.
      Moncure, North Carolina, 27559
    • Ms. Tami Schwerin 4479 Pittsboro Moncure Rd.
      Moncure, North Carolina, 27559
    • Ms. Rachel Burton 55 Thomas Lane, Moncure, NC 27559
  9. The mailing address of the initial office of the corporation is The Abundance Foundation, 4479 Pittsboro-Moncure Rd., Moncure, North Carolina, 27559 (Chatham County)
  10. Upon dissolution of the organization, assets shall be distributed for one or more exempt purposes within the meaning of section 501 (c)(3) of the Internal Revenue Code of 1986, or corresponding section of any future federal tax code, or shall be distributed tot he Federal, State, of Local Government for public purpose. Any assets not so disposed of shall be disposed of by the Superior Court of the county in which the office of the organization is then located, exclusively for such purposes.
  11. The name and address of the incorporator of the corporation is Lyle Estill, 4479 Pittsboro-Moncure Rd., Moncure, North Carolina, 27559.
